6 Ways GDPR & DPA Requirements Are Reshaping AI Contracts
1. Define Roles Clearly: Controller vs. Processor
If your AI app processes personal data on behalf of a client, you’re a Processor. But if you determine the why and how, you’re a Controller—and the liability shifts drastically.
Sample Clause:
“The Client acknowledges that [Your Company] acts as a Data Processor, processing Personal Data solely on documented instructions from the Client (the Data Controller), in accordance with Article 28 of the GDPR.”
2. Subprocessor Disclosures & Approvals
Most AI startups rely on tools like AWS, OpenAI, or GCP—these are subprocessors. Under GDPR, you must disclose them and, in some cases, obtain written approval from the client.
Sample Clause:
“Client consents to [Your Company]’s use of subprocessors listed at [URL], and shall be notified of any material changes. Client may object within 10 days of notification.”
3. Data Subject Rights & Access Obligations
Even if you’re not in the EU, you may need to support deletion requests, data exports, or correction requests under Articles 15–20 of GDPR.
Tip: Include a clause that limits your liability for upstream requests you cannot technically fulfill.
4. Security Standards & Breach Notifications
GDPR Article 32 requires “appropriate technical and organizational measures.” This isn’t vague anymore—enterprise clients will ask what you are doing, and want it in writing.
Sample Clause:
“[Your Company] shall implement industry-standard security controls, including data encryption in transit and at rest, access logs, and incident response protocols. Breaches affecting client data shall be reported within 72 hours.”
5. Standard Contractual Clauses (SCCs) for Data Transfers
If your client is EU-based and your servers aren’t, you need a valid transfer mechanism—usually SCCs.
Tip: You may need to attach SCCs as an exhibit to your service agreement if data leaves the EU.
6. Mutual Indemnity for Privacy Violations
Many clients now demand indemnification if your AI product mishandles personal data—even unintentionally.
Recommendation: Cap your liability and tie indemnity only to breaches caused by your gross negligence or willful misconduct.
