Halfdays Apparel Corp. has filed a notice of an exempt offering of securities to raise $11 Million in New Funding.
According to filings with the U.S. Securities and Exchange Commission, Halfdays Apparel Corp. is raising up to $11,000,000.00 in new funding. The federal securities law requires the notice to be filed by companies that have sold securities without registration under the Securities Act of 1933 in an offering made under Rule 504 or 506 of Regulation D or Section 4(a)(5) of the Securities Act. A company must file this notice within 15 days after the first sale of securities in the offering. For this purpose, the date of first sale is the date on which the first investor is irrevocably contractually committed to invest. Each issuer of securities that sells its securities in reliance on an exemption provided in Regulation D or Section 4(a)(5) of the Securities Act of 1933 must file this notice containing the information requested with the U.S. Securities and Exchange Commission (SEC) and with the state(s) requiring it. If more than one issuer has sold its securities in the same transaction, all issuers should be identified in this filing with the SEC.
About Halfdays Apparel Corp.
After competing in mens ski wear at the 2018 Winter Olympics, co-founder Kiley McKinnon had enough of the unisex fits truly meant for men and the unapproachability of the outdoor industry. Frustrated by the lack of gear fit for womens bodies, coupled with “hardcore” outdoor culture, Kiley came together with co-founders Ariana and Karelle to provide women with a better option for ski apparel, and to disrupt the male-dominated outdoor industry. Since launching the brand in 2020, weve expanded into outdoor apparel for the mountain year-round, but ski is where everything started for us. Its why we design technical products that can compete at the highest level of the sport, but can be worn by every level of skier: because everyone (!) deserves to own the mountain. Olympian-founded, and Colorado-based, we are the first brand to take an entirely women-first approach to technical ski wear. Our goal is to empower you to feel confident on the slopes from powdery back to cheers at aprs. Based in the Rockies, we live and breathe the Halfdays lifestyle, gear-testing on the Colorado trails for peak performance, and sharing a laugh at the brewery after. We know it can be hard to dress well for the mountain, but it doesnt have to be. Our product ethos of mountain-ready performance fashion is rooted in the big three: fashion, function, and fit. Constructed from recycled, technical materials and designed by the best, our product is made to last and crafted from the ground up for womens bodies. From first tracks to last chair, downhill speeding and cheers at aprs Halfdays is with you every step (or turn) of the way.
