The update follows over $20 million in new strategic investments, including a $14 million equity investment at $7 per share led by Ondas Holdings Inc. (Nasdaq: ONDS), a leading provider of autonomous drone technology. The additional capital is accelerating product development and go-to-market initiatives at Safe Pro’s three core subsidiaries: Safe Pro AI, Airborne Response, and Safe-Pro USA.

Safe Pro AI – Monetizing AI for Defense and Security

Safe Pro’s SpotlightAITM image analysis software powered by its SPOTD (Safe Pro Object Threat Detection) platform utilizes AI and computer vision to autonomously detect small explosive threats in drone imagery—technology already validated through over 2 million real-world images analyzed from operations in Ukraine. The Company recently introduced InFlight, a next-generation embedded version of SpotlightAITM now being integrated into Red Cat Holding’s Black Widow drone currently used by the US Army. Safe Pro’s new embeddable AI platform provides real-time threat detection directly on the drone, enabling faster, safer decision-making in the field. Safe Pro is currently engaging with the US Army to evaluate integration of InFlight across multiple contracted drone platforms, positioning the product for potential funding as operations resume following the reopening of the US federal government.

Driven by end user feedback from the battlefield and supported by the new strategic funding, Safe Pro developed and demonstrated its SPOTD NODE (Navigation, Observation & Detection Engine) to key US Army stakeholders. Born out of Safe Pro’s on the ground experience in Ukraine and guided by end-user feedback, NODE is a turnkey, edge-based drone imagery processing and mapping solution. NODE eliminates the need for wireless connectivity in the field and delivers powerful local data processing capabilities, providing rapid situational awareness to personnel of potential ground-based explosive threats.

At the Geneva International Centre for Humanitarian Demining (GICHD) 2025 GICHD Innovation Conference, a first-of-its-kind study was presented by Safe Pro and Norwegian People’s Aid (NPA), that demonstrated SpotlightAITM can improve demining survey productivity by 800+%, detect 550% more unexploded ordnance (UXO) and other explosive remnants of war (ERW) per hectare than conventional non-technical survey techniques, and significantly increase accuracy while cutting survey costs by roughly 50% per hectare (1 Hectare ≈ 2.47 Acres). The Company intends to utilize this real-world ROI data with industry and government stakeholders and funders to support the wide-scale adoption of its AI-image analysis technology.

Airborne Response – Commercializing Autonomous Drone Operations

Safe Pro’s drone services subsidiary, Airborne Response, has begun operational support of an autonomous drone-based asset inspection solution with a major US utility customer. Utilizing Skydio’s self-docking drones, Airborne’s customer can now conduct fully remote inspections of power infrastructure—reducing response times and costs while providing actionable intelligence that can improve operational safety for ground personnel.

Airborne also continues to enhance its Drone-as-a-First Responder (DFR) program with a South Florida police department, demonstrating Safe Pro’s broader capability to automate situational awareness and emergency response in both public safety and commercial use cases.

Safe-Pro USA – Expanding into Next-Generation Armor Systems

Safe-Pro USA, the Company’s ballistic protection unit, is undergoing certification under the latest NIJ 0101.07 standards for its new line of ultra-light and ultra-thin body armor, a key requirement for access to federal and state contracts. The division is also testing lightweight composite armor kits for police and government vehicles designed to withstand high-powered rifle threats without compromising vehicle performance or requiring modification. Safe-Pro USA is also working to complete its ISO 9001 certification, an international standard that verifies a company’s quality management system, another common requirement in federal and state contracting.
